Thornbury-based Bespoke cleans up in regional
acquisition - 7 April 2006
Wards recently acted for Bespoke Cleaning Services Limited, a leading regional contract cleaning specialist headquartered in Thornbury, to acquire one of its rivals, Midas Cleaning and Support Services Limited for an undisclosed sum.
Bespoke is a niche supplier of contract cleaning services to a wide range of blue chip clients, primarily in the West of England. Midas operates in the South West Midlands, has similar origins to Bespoke and has grown equally rapidly.
Commenting on the deal and the rationale for the acquisition, Bespoke’s executive directors Jackie Wilson and Matthew Wilkins said: “Firstly, the acquisition of Midas expands Bespoke’s customer and operational base into a key adjacent territory just to the south of Birmingham, which is consistent with our growth strategy. Secondly, for some time we have been targeting Midas’ founder, Mark Woodall, who has strong marketing and business development skills, to join our Board in order to drive forward business development and deliver our growth plans”.
Bridget Juckes, Head of Business Services and a Partner at Wards Solicitors, handled the deal for Bespoke. She commented: “From a legal point of view, the challenge was to put an appropriate legal structure around a carefully crafted commercial deal, within the client’s relatively tight timescale. I am pleased that we achieved these aims.”
The other professional advisors to the deal were Richard Hancock (senior partner of Reading-based Hancock & Company) who is a leading corporate finance specialist in Southern England and Kay Newsham (Principal of Newsham Tax) who is one of the leading independent tax experts operating in the West of England.
Jackie Wilson and Matthew Wilkins added: “We deliberately chose our legal, corporate finance and tax advisors for their experience in the mid-sized corporate market in the South and South West of England. As a Board, we were delighted with the performance of the advisory team and the service received”.
